By using the PRHere.com web site ("Service"), you are agreeing to be bound by the following terms and conditions ("Terms of Service").
1. Account Terms
a) You must be an adult aged 18 years or above to use this Service.
b) You must be an individual. Accounts registered by automated methods or by ‘bots’ are not permitted.
c) You should provide your full name (legal), valid email address, and any other information requested in order to complete the signup procedure.
d) You should maintain the security of your account and password. PRHere cannot and will not be held liable for any loss or damage from your failure to comply with this security obligation. Any information personally identifiable and submitted by you shall be subject to PRHere’s Privacy Policy.
e) Free account holders are not permitted to block ads
f) You must not use the Service for any unauthorized or illegal purposes. You must not, while using the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
2.Use
a) You are solely responsible for the content and accuracy of all news releases and other information submitted by you to the PRHere Site and Service ("Submitted Content"). Because of the volume of information and news releases submitted to the PR Here Site, PRHere cannot be responsible for verifying facts contained in the Submitted Content. Use of PRHere Site is subject to Terms of Service, including without limitation the Press Release Guidelines which are subject to change at PRHere's sole discretion.
b) PRHere reserves the right (i) to reject or edit all Submitted Content, provided that substantive edits to the Submitted Content will not be done without your consent; and (ii) to remove any press release from the PRHere Site, pull any press release from distribution or deny approval to any press release. PRHere can only remove Submitted Content from its network, and PRHere makes no representation or warranty regarding the removal of Submitted Content from sites outside of the PRHere Site.
c) PRHere endeavors to disseminate Submitted Materials promptly and accurately. Any inadvertent errors by PRHere will be corrected promptly upon discovery, without additional charge, and such obligation to correct shall constitute the sole liability of PRHere in this regard. If Submitted Material is not distributed within 30 days of the earlier of the (i) date on which you enter such material or (ii) pay for the Service (even if you have not yet entered Submitted Material) for reasons other than a delay caused solely by PRHere, then PRHere's service to you concerning such Submitted Material and/or payment shall be considered complete, and PRHere shall have no further obligation to you regarding such Submitted Material or in relation to such payment.
d) All Submitted Content transmitted by the Service must contain a user-supplied contact name, valid phone number and e-mail address that may be verified by PRHere.
e) PRHere does not warrant specific placement of any press release nor pick up by third parties of any press release on its wire, but will deliver a press release via online distribution methods to make such content available to be repurposed by third parties who discover the content at various Internet locations, both intended and unintended.
f) You agree to use the Service for its intended purpose and not for any illicit purposes including, but not limited to, the reverse engineering of the site and/or its processes and the inclusion of such processes or services in a derivative service. You shall not query, spider or access the PRHere Site and Service without the express written consent of PRHere.
3. Payment, Refunds, Upgrading or Downgrading Terms
a) You shall pay all fees or charges to your account in accordance with the fees, charges, and billing terms in effect at the time a fee or charge is due and payable. All payment obligations are non cancelable and all amounts paid are non refundable. PRHere reserves the right to modify its fees and charges and to introduce new charges at any time.
b) All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties, excluding only United States (federal or state) taxes.
c) You agree to provide PR Here with complete and accurate billing and contact information. You agree to update this information within 30 days of any change to it. If the contact information you have provided is false or fraudulent, PRHere reserves the right to terminate your access to the Service in addition to any other legal remedies.

Active Words, Strong Words, and Phrases
You can use active words to make the writing more interesting. Use strong words and phrases that capture the reader's attention.
Legally Accurate
All press releases related to legal action or criminal matters must include the case number, court of record, complaint number or other means of documentation that we can verify.
Valid Contact Info
All news releases must contain a valid phone number and e-mail address as the contact information.
Length Matters
The ideal length for your news release should be between 200 and 800 words. Too short or too long press releases typically do not get indexed by search engines.
Grammar and Spelling
Choose the grammar carefully. Take care that your press release should be free of spelling and grammatical errors. Your message must be easily understood by your targeted audience. In case you are using industry jargon acronyms for SEO purposes, make sure to include definitions for these, so the average reader can easily understand.
PRHere Formatting
Your news release should not contain any HTML tags and other formatting such as bold, italics and tables.
Do's and Dont's related to press release
Ads, Reprints, Fiction, Articles, Blog Posts or Fake News - Please do not submit advertisements, opinion pieces of the reader, reprints, articles, fiction, blog posts or fake news.
Affiliate URLs - A news release should promote website only with unique content. We don't allow promotion of:
Bridge pages i.e. Web pages that act as an intermediary with the sole purpose to link or redirect traffic to the parent company.
Framing of web pages in a manner that replicate the look and the feel of a parent site. Your site should not mirror the parent company site or any other site.
Anchor Text - We believe that anchor text links if used judiciously make it easier to read the press release. Thus you can include 1 to 2 links per every 100 words. More than 5 links total are not encouraged to be included in the body of a press release.
Back Button - Your site must allow the 'Back' button to work. Links to your website should be such that users can enter and exit the landing page easily. Once reaching your site, the user must be able to return to the original page where they found and clicked on your ad by clicking once on the browser's 'Back' button.
Use of Celebrity's Name - in your press release, even as fleeting references, for commercial purposes is never acceptable without written permission.
Copyright – You shouldn’t promote copyrighted content without permission
Drugs and Drug Paraphernalia – Promotion of drugs and drug paraphernalia, including drug accessories, illegal drugs, and herbal drugs such as salvia and magic mushrooms are not allowed in press releases.
Health Claims and Miracle Cures - Don't promote any miracle cure or even health claims such as "Cure cancer overnight!"
Hacking – Stay away from promoting hacking, including tools that aid in copyright infringement.
Hype Flags - Your release should be free of hype flags - exclamation points; e.g. description of a product as THE BEST, AMAZING, or use of upper case characters to create emphasis on the product will challenge the credibility of your news.
Intent to Harm - PRHere does will not publish press releases with any content that is intended to harm or exact revenge upon an individual or group.
Online Gambling – is never encouraged. Online gambling may include, but is not limited to, the following:
sports books and sports betting
bingo
sites that provide gambling tips, odds, and handicapping
tutoring of online gambling
lotteries
gambling-related eBooks
software facilitating gambling and online casinos
'play for fun' gambling or casino games of skill which include sites where the primary purpose is 'play for fun' gambling affiliate sites with the primary objective of driving traffic to online gambling sites
Sexual & Adult Content - Don't promote sexually explicit material, adult content, hatred or violence-oriented services. Don’t suggest racial intolerance, advocate against any individual or have insulting-obscene-degrading tone or contain profanity.
SPAM – It is important to avoid using words and phrases like get-rich quickly, amazing, FREE, "make money", as well as anything to do with health supplements or drugs for the purpose of sexual enhancement.
Stock Ticker Symbol - Don't include any other company's stock ticker symbol without getting written permission..
Tobacco and Cigarettes – Stay away from promoting tobacco-related products, including cigarettes, tobacco pipes, electronic cigarettes, cigars, rolling papers and e-cigarette cartridges.
Weapons - The promotion of weapons is also restricted. Don't promote any firearm, firearm components, ammunition, switchblades, butterfly knives, and/or brass knuckles.
Solicitation of Funds - is restricted. Even if the solicitation of funds is promoted in the press release text or occupies a significant portion of your site, the press release landing page should clearly display tax-exempt status such as 501(c)(3) status in the United States, and should state whether the donations are tax-deductible in full or in part. Other countries need to have an equivalent status (must be a registered charity or not-for-profit organization). However, for solicitation of political donations, the press release's landing page must clearly state that these donations are not tax-deductible.
A. Monthly Plans
i. Monthly Plans are billed in advance on a monthly basis and is non-refundable. There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account. In order to treat everyone equally, no exceptions will be made.
ii. For any upgrade or downgrade in plan level, your credit card that you provided will automatically be charged the new rate on your next billing cycle.
iii. Downgrading your Service may cause the loss of Content, features, or capacity of your Account. PRHere does not accept any liability for such loss
B. Pay-Per-Release Plans
i. You have up to 30 Days to request a refund for a press release that was submitted via our pay-per-release plan that was not approved for distribution or placed on editorial hold by PRHere.
4. Suspension or Termination
PRHere may suspend or terminate your account at any time at its discretion. Notwithstanding the foregoing, if your account becomes delinquent or you breach any material term or condition herein, then, in addition to any of its other rights or remedies, PRHere reserves the right to suspend your access to the PRHere Site and Service, without liability to you
5. Modifications to Services and Prices
a) PRHere reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.
b) Prices of all Services, including but not limited to la carte plan fees to the Service, are subject to change at any time. Such notice may be provided at any time by posting the changes to the PRHere Site or the Service itself.
c) PRHere shall not be liable to you or to any third party for any modification, price change, suspension or discontinuance of the Service..
6. Cancellation and Termination
a) You are solely responsible for properly canceling your account. You can cancel your account at any time. Your sole and exclusive remedy is to terminate the Agreement and/or the Service(s) Terms by requesting your account be closed via the PRHere HELP DESK.
b) PRHere, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Service, or any other PRHere service, for any reason at any time, without liability to you. Such termination of the Service will result in the deactivation or deletion of your Account or your access to your Account, and the forfeiture and relinquishment of all content in your Account. PRHere reserves the right to refuse service to anyone for any reason at any time.
c) All of your Submitted Material will be immediately taken down from the Service upon cancellation. This information can not be recovered once your account is cancelled.
7. Copyright Complaints
a) PRHere respects the intellectual property rights of others and it prohibit users from uploading, posting or otherwise transmitting on the PRHere Site or Service any materials that violate another party's intellectual property rights. When we receive proper Notification of Alleged Copyright Infringement as described in the PRHere Copyright Policy, PRHere will promptly remove or disable access to the allegedly infringing material and terminate the accounts of repeat infringers as described herein in accordance with the Digital Millennium Copyright Act. If you believe that any material on the PRHere Site infringes upon any copyright which you own or control, you may send a written notification of such infringement to our Designated Agent. 8. Warranties; Limitation of Liability
a) You represent and warrant to PRHere that (i) you have the right to deliver the Submitted Content to the PRHere Site and Service, (ii) you will comply with all applicable laws, rules and regulations, including but not limited to the Children's Online Privacy Protection Act of 1998 and laws relating to "spam", (iii) Submitted Content will not contain any content that is obscene, libelous, slanderous or otherwise defamatory, false or misleading or which violates any copyright, right of privacy or publicity or other right of any person; and (iv) Submitted Content will not contain any viruses, scripts, macros, or programs or links to macros, scripts, programs, or any code that alters, destroys, infiltrates or inhibits the operation of computer systems including, but not limited to the Service or data stored within such computer systems including, but not limited to the Service.
b) PRHere MAKES NO WARRANTIES, EXPRESS OR IMPLIED (INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND TITLE, AND ANY AND ALL IMPLIED WARRANTIES ARISING FROM STATUTE, COURSE OF DEALING, COURSE OF PERFORMANCE OR USAGE OF TRADE), REGARDING THE SERVICE. PRHere DOES NOT WARRANT OR REPRESENT THAT THE SERVICE WILL BE FREE FROM ERRORS, INCLUDING OMISSIONS, INTERRUPTIONS, DELAYS, LOSSES OR DEFECTS, WHETHER HUMAN OR MECHANICAL.
c) PRHere’s entire liability for damages for any claims arising under or in connection with your use of the Service, regardless of the cause of action, whether in contract or in tort (including without limitation, breach of warranty and negligence claims) shall be limited to your actual direct damages, not to exceed the amounts actually paid by you for your use of the Service during the twelve months immediately preceding the month in which the cause of action arose. IN NO EVENT SHALL PRHere HAVE ANY LIABILITY TO YOU FOR ANY CLAIMS OR DEMANDS OF THIRD PARTIES OR ANY LOST PROFITS, LOSS OF BUSINESS, LOSS OF USE, LOST SAVINGS OR OTHER CONSEQUENTIAL, SPECIAL, INCIDENTAL, INDIRECT, EXEMPLARY OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification
a) PRHere will indemnify ("Indemnitor") and hold you ("Indemnitee") harmless against any claim or demand by a third party, including without limitation reasonable attorney's fees, alleging that the Service infringes any intellectual property right under the laws of the United States of a third party. This indemnification does not cover third party claims arising from: (i) modifications to the Service by anyone other than PRHere or its authorized agents and contractors; (ii) use of the Service by you in combination with other software or equipment not authorized by PRHere where the Service, if not so used, would not be infringing; or (iii) your failure to use the Service in accordance with these terms and conditions.
b) You shall indemnify ("Indemnitor") and hold harmless PRHere ("Indemnitee"), its affiliated companies and its third party vendors, including distributors, from and against any and all claims, losses, damages, liabilities, costs and expenses (including reasonable attorney's fees) arising out of or relating to any breach by you of any representations and/or warranties contained herein or otherwise arising out of or relating to the Submitted Content.
c) Indemnification is conditioned upon the following: (i) the Indemnitee promptly notifying the Indemnitor of any claim; (ii) the Indemnitor having sole control of the defense and all related settlement negotiations; and (iii) the Indemnitee cooperating, at the Indemnitor's expense, in the defense and furnishing the Indemnitor with all related evidence in its control.
d) If a claim regarding the Service and alleging infringement is brought or is likely, in PRHere’s sole opinion, to be brought, PRHere may, at its sole option and expense (i) obtain the right for you to continue using the Service; (ii) replace or modify the Service so that it becomes non-infringing; or (iii) upon notice to you, terminate your use of the Service or any portion thereof, provided that PRHere promptly refunds to you the prorated portion of any pre-paid fees paid hereunder.
11. Force Majeure
a) If SERVICE is prevented or delayed in or from performing any of its obligations under the Agreement due to circumstances beyond its control, including but not limited to governmental acts, war, riots, strikes or trade disputes (including by and with our own employees), technical failure, general availability of the internet, power failure, communications failure, weather, flood, fire or explosion, natural or local emergency, PRHere shall not be liable for any resulting failure to provide services hereunder.
12. Miscellaneous
a) These Terms of Service will be governed by and construed in accordance with Federal and State regulations, without giving effect to its conflict of laws provisions or your actual state or country of residence. If for any reason a court of competent jurisdiction finds any provision or portion of the Terms of Service to be unenforceable, the remainder of the Terms of Service will continue in full force and effect. These Terms of Service constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter (including, but not limited to, any prior versions of the Terms of Service). Any waiver of any provision of the Terms of Service will be effective only if in writing and signed by an authorized representative of PRHere.
b) You shall not hold yourself out as in any way as sponsored by, affiliated with, or endorsed by PRHere or its subsidiaries or affiliates. You agree not to (i) defame or disparage PRHere, its trademarks or service marks, or the Service; or (ii) adapt, translate, modify, decompile, disassemble, or reverse engineer the Service or any software or programs used in connection with the Service.
c) You consent to receive communications from PRHere concerning the Service electronically by email to the email address you provided in connection with your account. You also consent to receive communications by telephone or by postal mail sent to the postal address you provided in connection with your account. You may change the email or postal address to which PRHere sends communications by notifying PRHere in writing (which may be by email).
d) By registering for the Service or submitting Submitted Content, you agree to be bound by these terms and conditions. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these terms and conditions. Should you violate these terms and conditions or any other rights of the PRHere Site and Service, PRHere reserves the right to pursue any and all legal and equitable remedies against you, including, without limitation, terminating any and all user accounts.
e) You are responsible for all activity occurring under your account and shall abide by all applicable local, state, national and foreign laws, treaties and regulations in connection with your use of the Service. Your obligations shall be binding on your heirs, successors and assigns.
f) You acknowledge and agree that you and PRHere are independent contractors, and nothing herein shall be construed to create a partnership, joint venture, agency, or employment relationship. Neither party has authority to enter into agreements of any kind on behalf of the other. Neither party shall be considered the agent of the other.
g) PRHere reserves the right, in accordance with any applicable laws, to refuse service to anyone for any reason at any time.
